1. Definitions

For the purposes of these Terms:

- “MannMechanics”, “we”, “us”, or “our” means MannMechanics, operated by Valraj Singh Mann.

- “User”, “you”, or “your” means any individual or organisation accessing the website, materials, or services.

- “Framework” means the Mann Mechanics methodology and Progressive Depletion Minting concepts, documentation, and associated materials.

- “Materials” means all documents, publications, written guidance, research, correspondence, and content provided by MannMechanics.

- “Services” means written consulting, interpretive guidance, research access, and licensing discussions.

- “MannCert” means the independent certification body operating under separate legal documentation.

2. Purpose and Scope

These Terms govern access to and use of MannMechanics websites, Materials, Services, and licensing discussions.

MannMechanics operates as a framework and methodology body only.

By accessing or using MannMechanics, you agree to be bound by these Terms.

If you are acting on behalf of an organisation, you confirm that you have authority to bind that organisation.

Use of the website and Materials is intended for professional, research, institutional, or informational purposes.

3. Nature of Engagement

Engagement with MannMechanics is conducted primarily through written communication.

Any exception to written engagement must be agreed expressly in writing.

No expectation of meetings, calls, presentations, or verbal consultation arises unless explicitly agreed.

4. No Certification Authority

MannMechanics:

- Does not certify systems, organisations, or individuals

- Does not issue compliance determinations

- Does not operate a certification standard or registry

Certification authority resides exclusively with MannCert under separate legal instruments.

Nothing provided by MannMechanics constitutes certification, endorsement, or verification.

5. Framework and Interpretive Nature

Materials and Services:

- Explain theoretical, mathematical, and methodological constructs

- Provide interpretive and educational guidance

- Do not constitute legal, regulatory, financial, or investment advice

Users remain solely responsible for independent evaluation and decision making.

6. Licensing and Patent Boundary

Certain mechanisms described within the Framework are protected by patent or are patent pending.

Engagement with MannMechanics:

- Does not grant any licence

- Does not authorise implementation

- Does not imply permission to deploy protected mechanisms

Implementation requires a separate executed written licence from the intellectual property rights holder.

7. No Implied Rights

No rights are granted by:

- Accessing Materials

- Receiving written guidance

- Participating in correspondence

- Reviewing documentation

All rights must be expressly granted in writing.

8. Acceptable Use

You agree not to:

- Misrepresent Materials or the Framework

- Claim certification, endorsement, or approval

- Copy, reproduce, reverse engineer, or create derivative frameworks

- Use trademarks or terminology without permission

- Interfere with website security or operation

- Use the Framework in a misleading or unlawful manner

Misuse may result in termination of access and enforcement of intellectual property rights.

9. Intellectual Property

All Framework elements, Materials, terminology, documentation, and content are protected intellectual property.

No ownership rights are transferred.

Unauthorised reproduction, distribution, or derivative use is prohibited.

10. Fees and Written Consulting

Where Services are provided:

- Scope is defined in writing

- Fees are agreed in advance

- Payment does not guarantee licensing or certification

Fees are non-refundable unless expressly stated.

11. Confidentiality

Information exchanged in writing may be treated as confidential where reasonably understood to be confidential or identified as such.

Confidentiality obligations do not apply to information that:

- Is publicly available

- Was already known

- Is independently developed

- Must be disclosed by law

MannMechanics may disclose information to professional advisers or as required to protect intellectual property.

12. Limitation of Liability

To the fullest extent permitted by law:

- MannMechanics is not liable for indirect, incidental, or consequential loss

- Use of Materials and Framework is at your own risk

- No guarantee of outcomes, adoption, or regulatory acceptance is made

Nothing excludes liability where exclusion is prohibited by law.

13. Indemnity

You agree to indemnify MannMechanics against claims arising from:

- Misuse of Materials

- Unauthorised implementation

- Misrepresentation of the Framework

- Breach of these Terms

14. Website Availability

We may modify, suspend, or discontinue the website or Materials without notice.

We do not guarantee uninterrupted availability.

15. Termination of Access

We may suspend or terminate access where:

- These Terms are breached

- Misrepresentation occurs

- Continued engagement risks framework integrity

Termination does not waive intellectual property rights.

16. Amendments

These Terms may be updated to reflect legal, operational, or governance changes.

Updates take effect upon publication.

17. Entire Agreement

These Terms constitute the entire agreement unless replaced by a separate written agreement.

18. No Waiver

Failure to enforce any provision does not constitute waiver of rights.

20. Assignment

MannMechanics may assign rights as part of organisational restructuring.
